Ownership of Site and agreement to Terms of Use

These Terms and Conditions of Use (the "Terms of Use") apply to the OLMI LLC web site located at www.olmiarmour.com (the "Site"). The Site is the property of OLMI LLC ("OLMI").

These Site Terms of Use are developed by the OLMI LLC and define terms of use and development of the Site, as well as rights and obligations of its users and OLMI. The Terms also apply to relations related to rights and interests third parties that are not users of the Site, but whose rights and interests may be affected in as a result of the actions of the Site users.

These Terms of Use are a legally binding agreement between the user and our Site, the subject of which is the provision of our Site services for the use. In addition to these Terms, to the agreement between the user and the Site includes all special documents, regulating the provision of individual services of the Site and posted in the relevant sections our Site.

By clicking to indicate your acceptance or otherwise using our services, you agree to these Terms. If you do not agree to these Terms, you may not use our Services.

OLMI reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, OLMI grants you a personal, non-transferable, limited privilege to enter and use the Site.

Content

Our prodcut, including the product descriptions, text, graphics, images, photographs, videos, illustrations, trademarks, trade names, service marks, logos, slogans and other content contained therein, are owned by to OLMI and are protected and in accordance with the laws of the Russian Federation.

Except as expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, web site or other medium for publication or distribution or for any commercial enterprise, without OLMI's express prior written consent.

You may use information about OLMI products and services specifically provided for download from the Site, provided that you use such information only for personal, non-commercial information purposes.

Use of the Site

You may not:

  • use any "deep-link", "page-scrape", "robot", "spider" or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content. OLMI reserves the right to bar any such activity.
  • attempt to gain unauthorized access of the Site by hacking or any other illegitimate means.
  • probe, scan or test the vulnerability of the Site, nor breach the security or authentication measures on the Site.
  • search for any information about another user or visitor to the Site. And disclose personal identification or information other than your own information as provided by the Site.
  • to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.
  • pretend that you are someone else, or impersonate any other individual or entity.
  • use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use.

Accounts and security

You will need to register for an account to access some or all of our products. If you register for an account, you must provide accurate account information and promptly update this information if it changes. You must maintain the security of your account and account credentials and promptly notify us if you discover or suspect that someone has accessed your account without your permission. If you permit others to access the Services through your account, you are responsible for the activities of those users. We reserve the right to reclaim screen names on behalf of businesses or individuals that hold legal claim, including trademark rights, in those screen names.

You may create a text hyperlink to our Services for noncommercial purposes, provided such link does not portray OLMI or any of its products or services in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking site does not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable. This limited permission may be revoked at any time. You will not use the OLMI logo or other proprietary graphic of OLMI to link to our Site without our express written permission.

Disclaimers

We do not control, endorse or take responsibility for any Third-Party Content available via our Site. Your use of our Site is at your sole risk. Except as otherwise provided in these Terms, our products purchased via our Site are provided “as is” and “as available” without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except that if OLMI provides an express limited warranty, the implied warranties are limited to the term of that limited warranty. In addition, OLMI does not represent or warrant that our Site is accurate, complete, reliable, current or error-free. While OLMI attempts to make your access to and use of our Site safe, we cannot and do not represent or warrant that our Site or servers are free of viruses or other harmful components. Except as otherwise provided in these Terms, you assume the entire risk as to the quality and performance of the products you purchase via the Site.

OLMI reserves the right to do any of the following, at any time, without notice: to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Limitation of Liability

The OLMI will not be liable to you under any theory of liability—whether based in contract, tort, negligence, warranty, or otherwise—for any indirect, consequential, incidental or special damages arising out of or in any way related to these Terms or our Site (including the products purchased via our Site), even if OLMI have been advised of the possibility of such damages.  Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you.

The total liability of the OLMI for any claim arising out of or relating to any product purchased via the Site will not exceed the greater of $100 or the purchase price of that product.  For all other claims arising out of or relating to these Terms or our Site, the total liability of OLMI is limited to $100. 

The limitations set forth in this section will not limit or exclude liability for personal injury or property damage caused by a product you purchased via the Site or the gross negligence, fraud, or intentional, willful, or reckless misconduct of the OLMI or for any other matters in which liability cannot be excluded or limited under applicable law.

Indemnity

You agree to indemnify and hold OLMI, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against OLMI by any third party due to or arising out of or in connection with your use of the Site.

Violation of These Terms of Use

OLMI may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with OLMI’s rights or property, or the rights or property of visitors to or users of the Site, including OLMI’s customers. OLMI reserves the right at all times to disclose any information that OLMI deems necessary to comply with any applicable law, regulation, legal process or governmental request. OLMI also may disclose your information when OLMI determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

If OLMI does take any legal action against you as a result of your violation of these Terms of Use, OLMI will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to OLMI. You agree that OLMI will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

Dispute Resolution

You and OLMI agree that any dispute arising out of or related to these Terms or our Site is personal to you and OLMI and that any dispute will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action or any other type of representative proceeding.

Any claim arising out of or related to these Terms or our Site must be filed within one year after such claim arose; otherwise, the claim is permanently barred, which means that you and OLMI will not have the right to assert the claim.

Governing Law and Venue

These Terms and your access to and use of our Site will be governed by and construed and enforced in accordance with the laws of Russian Federation. Any dispute between the parties that is not subject to arbitration or small claims court will be resolved in the Russian Federation, respectively, sitting in Saint Petersburg city.

Termination

We reserve the right, without notice and in our sole discretion, to terminate your right to access or use our Site or to discontinue all or a part of the Site. We are not responsible for any loss or harm related to your inability to access or use our Site.

Miscellaneous

If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. These Terms and any applicable Additional Terms constitute the entire agreement between you and OLMI relating to your access to and use of our Site. The failure of OLMI to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity.  You agree that communications and transactions between us may be conducted electronically.

Changes to Terms

We may amend these Terms at any time convenient to us. If we make changes, we will provide notice of such changes, for example by sending a notice by email, sending a notice through our Site, or publishing the modified Terms to our products. Unless otherwise stated in our notice, the amended Terms and Conditions will take effect immediately and your continued access to and use of our Site upon notice will confirm your acceptance of the changes. If you do not agree to the amended Terms and Conditions, you must cease access to and use of our Site.
